Terms of Service

1. Acceptance & Jurisdiction

These Terms of Service ("Terms") constitute a legally binding agreement between you and CB Connect, operated by Novelty Web Solutions ("Company", "we", "us", or "our"), which provides services through the platform accessible at dir.caricombusiness.com and associated domains ("Platform").

By accessing or using the Platform — whether as a registered business partner, consumer member, guest visitor, or any other capacity — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately cease use of the Platform.

These Terms are governed by and construed in accordance with the laws of the Republic of Trinidad and Tobago, and where applicable, the laws and regulations of your home territory within the broader Caribbean Community (CARICOM). We operate in compliance with the framework established by the Trinidad and Tobago Data Protection Act, 2011 (Chapter 22:04) and applicable consumer protection legislation throughout the region.

2. Definitions

Throughout these Terms, the following definitions apply:

  • "Platform" — The CB Connect website, dashboard, API, mobile interfaces, and all associated services.
  • "Business Partner" — Any legal business entity or sole trader who registers a listing on the Platform.
  • "Member" — Any consumer or professional who registers an account to access business profiles, request quotes, or use Member-tier features.
  • "Content" — Any text, images, logos, descriptions, videos, data, or other material submitted to or displayed on the Platform.
  • "Subscription" — A paid recurring plan that unlocks additional platform features for Business Partners.
  • "Listing" — A business profile published on the Platform's directory.

3. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts under the laws of your jurisdiction to create an account or submit a business listing.

Business accounts must represent a legally registered or legitimately operating entity within the Caribbean region or a business with substantial operations serving Caribbean markets. By registering a business listing, you represent and warrant that:

  • You are authorised to represent and legally bind the business you are registering.
  • The business is not engaged in activities prohibited by applicable law in your territory or internationally.
  • All information provided is accurate, complete, and current.

4. Account Registration & Security

To access certain features, you must create an account. You agree to:

  • Provide accurate, complete, and truthful registration information.
  • Maintain the confidentiality of your account credentials and immediately notify us of any unauthorised access.
  • Accept full responsibility for all activities that occur under your account.
  • Not create multiple accounts for the same business without written consent from CB Connect.
  • Not share account credentials with unauthorised personnel.

CB Connect reserves the right to suspend or terminate accounts that violate these requirements, without prior notice and without liability.

5. Business Listings

When you submit a business listing, you grant CB Connect a non-exclusive, royalty-free, worldwide licence to display, reproduce, and distribute the Content you submit as part of the listing on the Platform and in promotional materials referencing the Platform.

You represent and warrant that all Content submitted:

  • Is accurate and does not misrepresent your business, services, pricing, or credentials.
  • Does not infringe any third-party intellectual property rights, privacy rights, or applicable laws.
  • Does not contain false reviews, misleading testimonials, or manufactured social proof.
  • Complies with all applicable advertising and consumer protection laws in your territory.

CB Connect reserves the right to remove, modify, or suspend any listing that violates these Terms, without refund, at its sole discretion.

6. Subscription Plans & Payments

CB Connect offers tiered subscription plans for Business Partners. By subscribing to a paid plan, you agree to the following:

  • Billing Cycle: Subscriptions are billed on a recurring monthly or annual basis, as selected at the time of purchase. Billing begins on the date of your first payment.
  • Payment Authorisation: You authorise CB Connect (via our payment processor, Stripe) to charge your nominated payment method for all applicable fees.
  • Price Changes: We may modify subscription pricing with a minimum of 30 days' written notice delivered to your registered email address. Continued use after the effective date constitutes acceptance.
  • Cancellation: You may cancel your subscription at any time through your dashboard billing settings. Your access remains active until the end of the current billing period. No refunds are issued for unused portions of a billing period.
  • Failed Payments: If a scheduled payment fails, access to paid features may be suspended. After 7 days of non-payment, your account may be downgraded to the free tier.

7. Acceptable Use

You agree that you will not, under any circumstances:

  • Submit false, misleading, fraudulent, or defamatory Content to the Platform.
  • Impersonate another person, business, or entity.
  • Use automated scripts, bots, spiders, crawlers, or scraping tools to collect data, directory profiles, or user information from the Platform without our prior written consent.
  • Use any Content extracted from the Platform to train Large Language Models (LLMs), artificial intelligence systems, or machine learning algorithms without explicit licensing from Novelty Web Solutions.
  • Interfere with, disrupt, or attempt to gain unauthorised access to the Platform's infrastructure, systems, or user accounts.
  • Use the Platform for any purpose that violates applicable laws, including those governing fraud, money laundering, or consumer protection in the Caribbean region.
  • Facilitate the listing of businesses engaged in illegal, exploitative, or harmful activities.
  • Transmit spam, unsolicited solicitations, or prohibited communications to other users of the Platform.
  • Circumvent, disable, or interfere with security-related features of the Platform.

8. Intellectual Property & Database Rights

The CB Connect name, logo, branding, website design, software, directory database, and all other elements of the Platform are the exclusive intellectual property of Novelty Web Solutions and are protected by applicable intellectual property laws, including Copyright Act Chapter 82:80 (Trinidad and Tobago) and international conventions.

Database Protection: The structured collection, curation, and presentation of Caribbean business profiles within our directory constitutes a protected database. You are expressly prohibited from conducting systematic extraction, scraping, mirroring, or harvesting of this database (in whole or in part) to create competitive commercial products, secondary directories, or unauthorised API integrations.

You may not copy, reproduce, distribute, modify, publicly display, or create derivative works from any Platform content without explicit written permission. Content you submit remains your property, subject to the licence granted above in Section 5.

9. Disclaimer of Warranties

The Platform and all services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, CB Connect expressly disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Warranties regarding the accuracy, completeness, or reliability of any Content submitted by third-party business partners.
  • Warranties that the Platform will be uninterrupted, error-free, or secure at all times.

CB Connect does not endorse or verify the quality, legality, or accuracy of any business listing and makes no representations about the suitability of any listed business for your needs.

10. Limitation of Liability

To the maximum extent permitted by applicable law, CB Connect, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of or inability to use the Platform, including but not limited to loss of profits, data, business, or goodwill.

In no event shall CB Connect's total aggregate liability arising from these Terms or your use of the Platform exceed the greater of (a) the total fees paid by you to CB Connect in the twelve (12) months preceding the claim, or (b) $100 USD.

11. Indemnification

You agree to indemnify, defend, and hold harmless CB Connect and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms.
  • Any Content you submit to the Platform.
  • Your use of the Platform in violation of applicable laws.
  • Any dispute between you and another user of the Platform.

12. Termination

CB Connect reserves the right to suspend or terminate your account and access to the Platform at any time, with or without cause or notice, including but not limited to violations of these Terms, fraudulent activity, or legal requirements.

Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including ownership provisions, warranties, indemnity, and limitations of liability) shall survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Trinidad and Tobago, without regard to its conflict of law principles. Where users operate from other CARICOM member states, applicable regional commercial laws and consumer protection frameworks shall apply concurrently to the extent required by local law.

14. Dispute Resolution

In the event of any dispute arising from these Terms or your use of the Platform, the parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice. If unresolved, disputes shall be submitted to binding arbitration in Port of Spain, Trinidad, under the rules of the Trinidad and Tobago International Arbitration Centre (TTIAC), or its successor body. Judgments on arbitration awards may be enforced in any court of competent jurisdiction.

Notwithstanding the above, either party may seek urgent injunctive or other equitable relief from a court of competent jurisdiction.

15. Modifications

CB Connect reserves the right to modify these Terms at any time. Material changes will be notified via email to your registered address with a minimum of 14 days' notice prior to the effective date. Continued use of the Platform after the effective date constitutes your acceptance of the revised Terms. We maintain a version history and you may request prior versions by contacting us.
